PREAMBLE

1. DEFINITION OF CONFIDENTIAL INFORMATION
"Confidential Information" means all information disclosed by Disclosing Party to Receiving Party in connection with the Purpose that is designated as confidential or that should reasonably be understood to be confidential, including but not limited to: technical data, trade secrets (Geschäftsgeheimnisse as defined in GeschGehG § 2 No. 1), financial information, business plans, customer lists, product specifications, software source code, and personnel data.
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of Receiving Party; (b) was already known to Receiving Party at the time of disclosure; (c) is independently developed by Receiving Party without use of Confidential Information; (d) is received from a third party without restriction.
2. OBLIGATIONS OF RECEIVING PARTY
Receiving Party shall: (a) keep all Confidential Information strictly confidential; (b) not disclose Confidential Information to any third party without prior written consent of Disclosing Party; (c) use Confidential Information solely for the Purpose; (d) apply at least the same degree of care as it applies to its own confidential information, but no less than reasonable care; (e) limit access to Confidential Information to its employees, agents, or advisors who have a need-to-know and are bound by equivalent confidentiality obligations.
3. PERMITTED DISCLOSURES
Receiving Party may disclose Confidential Information: (a) if required by law, court order, or regulatory authority, provided Receiving Party gives Disclosing Party prompt written notice (to the extent legally permitted) and cooperates in seeking a protective order; (b) to the extent permitted under GeschGehG § 5 (e.g., whistleblowing, press freedom, protection of legitimate interests).
4. TERM
This Agreement enters into force on the date of last signature and remains effective for [3/5] years. The obligation of confidentiality with respect to trade secrets (Geschäftsgeheimnisse) continues as long as the information qualifies as a trade secret under GeschGehG § 2 No. 1.
5. RETURN / DESTRUCTION OF INFORMATION
Upon Disclosing Party's written request or termination of the Purpose, Receiving Party shall promptly return or destroy (and certify destruction of) all materials containing Confidential Information, retaining only copies required by applicable law.
6. CONTRACTUAL PENALTY (VERTRAGSSTRAFE)
For each breach of this Agreement, Receiving Party shall pay a contractual penalty (Vertragsstrafe) of EUR [5,000 – 50,000] at the discretion of Disclosing Party, subject to review by a competent court under BGB § 343. Payment of the Vertragsstrafe does not release Receiving Party from further liability under BGB § 280.
7. DATA PROTECTION (DSGVO)
To the extent Confidential Information contains personal data within the meaning of DSGVO Art. 4(1), Receiving Party shall process such data solely in accordance with this Agreement and applicable data protection law. Where Receiving Party processes personal data on behalf of Disclosing Party, the Parties shall enter into a Data Processing Agreement (Auftragsverarbeitungsvertrag) under DSGVO Art. 28.
8. GOVERNING LAW AND JURISDICTION
This Agreement is governed by the laws of the Federal Republic of Germany, excluding conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. Place of jurisdiction is [Munich / Berlin / Frankfurt / Hamburg].
9. SEVERABILITY
If any provision of this Agreement is invalid or unenforceable, the remaining provisions remain in full force. The invalid provision shall be replaced by a valid provision that most closely reflects the economic purpose of the original provision (BGB § 139).
